Terms of Service

The agreement for using Lexlaw and this website.

Last updated October 31, 2026.

These Terms of Service ("Terms") are an agreement between [Legal entity name] ("Lexlaw", "we", "us") and the organization that uses Lexlaw ("Customer", "you"). They cover the Lexlaw app at https://app.lexlawai.com (the "Service") and our website at https://lexlawai.com (the "Website").

If you accept these Terms for an organization, you confirm you're allowed to bind it. People who use the Service through a Customer's account ("Users") must follow these Terms too. If you've signed a separate written agreement with us, such as an Enterprise order form, that agreement wins where it differs from these Terms.

Our Privacy Policy explains how we handle personal information and is part of these Terms.

1. The Service

Lexlaw is a workspace for using AI models on your organization's work. You can chat with models, upload documents and media, organize work in projects, and use skills, tools and web search. It also includes privacy controls such as guardrails, data masking and the Data Privacy setting.

Which features you get depends on your plan and on how your administrators set up the Service. We improve the Service over time and may add, change or remove features. If we remove a feature you pay for in a way that materially reduces the Service, we'll tell you in advance where we reasonably can.

2. Accounts and administrators

  • Invitations. Accounts are created by invitation from your organization or from us. Each account is for one person. Don't share sign-ins.
  • Security. Every account must use multi-factor authentication (an authenticator app or a passkey). Keep your credentials safe, and tell us right away if you think your account has been misused.
  • Administrators. Your organization's administrators control its workspace. They can invite and remove Users, set the organization's settings, see usage and audit logs, and open the chats and files of the people they supervise. Managers can do the same for members of teams they lead. Your organization, not Lexlaw, decides how this access is used and is responsible for telling its Users about it.
  • Responsibility. You're responsible for what happens under your organization's accounts, and for making sure your Users follow these Terms.

3. Plans, fees and credits

  • Plans. Plans, prices, seat limits, monthly credits and included features are shown on our pricing page, or in your order form. The free plan has limited seats and credits.
  • Fees. Paid plans are charged per seat, per month, unless your order form says otherwise. Fees already paid are non-refundable except where the law or your order form says otherwise.
  • Taxes. Prices don't include sales tax. We add the tax that applies at your billing address, unless you give us a valid exemption. Keep your billing address up to date.
  • Coupons. A coupon gives the discount described when you redeem it, on the plans it names, for the time stated (for example, the first bill or the first three months). An organization can have one coupon at a time; a new one replaces the current one. Coupons have no cash value, can't be transferred, and expire on the date shown. We may withdraw a coupon, for example if it's misused; its discount then stops from your next bill.
  • Changes during a period. An upgrade, or added seats (including pending invitations), applies straight away. We charge for the rest of the current period at once, then the new price monthly. A downgrade, or fewer seats, applies from your next billing date, with no refund for the current period.
  • Downgrades with fewer seats. If you move to a plan with fewer seats than your organization uses, your administrators choose who keeps access. When the downgrade takes effect, everyone else is switched off and pending invitations are cancelled. Their content isn't deleted. If no choice was made, administrators are kept first, then the most recently active people.
  • Inactive free organizations. If no one in an organization on the free plan uses the Service for 60 days, we permanently delete the organization. This includes all of its content and every account that belongs only to it. Before that, we email its members 14, 7 and 1 days ahead. Signing in, or moving to a paid plan, before the deletion date keeps the organization. Deletion can't be undone.
  • Trials. A trial lasts for the period shown when it starts. When it ends, you can choose a paid plan or move to the free plan.
  • Credits. Each plan includes a monthly pool of credits for AI usage (seats × credits per seat). Unused credits don't carry over.
    • On paid plans, once the pool is used up, the Service may switch to a lighter model until a hard limit is reached.
    • On the free plan, usage stops until the next month.
    • Web search and other metered features also use credits.
  • Changes. We may change prices or plan contents. For your current plan, changes take effect at your next billing period, with at least 30 days' notice.

4. Your content

  • You own it. "Customer Content" is everything you and your Users put into the Service, plus the output the Service generates for you. This includes prompts, chats, replies, files, transcripts, projects and skills. As between you and us, you own Customer Content.
  • Our permission to use it. You give us permission to host, copy, process, transmit and display Customer Content only as needed to provide, secure and support the Service for you. This includes sending it to the AI providers and other services your organization uses (see Section 6).
    • We don't use Customer Content to train AI models.
    • We don't look at Customer Content except where support you request needs it, to investigate a security incident or abuse, or where the law requires it.
  • Your responsibilities. You confirm you have the rights and permissions needed for your content, including any consent, notice or legal basis required by privacy, confidentiality or professional rules. Don't upload content you aren't allowed to share with us and our subprocessors.
  • Health information. Don't put protected health information (PHI) into the Service unless all of the following are true:
    • your organization and [Legal entity name] have signed a Business Associate Agreement (BAA);
    • your plan includes Data Privacy;
    • your administrators have turned Data Privacy on.

5. AI output

AI models can be wrong, incomplete, out of date or biased, and may produce similar output for other customers.

  • Not professional advice. The Service and its output aren't legal, medical, financial or other professional advice. Using the Service doesn't create an attorney–client, doctor–patient or other professional relationship with Lexlaw.
  • Check before you rely on it. Review output, including citations and web sources, before you use it. You stay responsible for your professional judgment and for meeting your professional obligations, including supervision, confidentiality and candor to courts.
  • Privacy tools reduce risk. Masking and guardrails detect common kinds of personal data and risky content, but no detection is perfect. Use them as safeguards, not guarantees.

6. Third-party services

The Service connects to services run by others. Using them is subject to their terms, and we're not responsible for them. They include:

  • AI model providers, such as OpenAI, Anthropic, Google, Mistral, xAI, Groq, DeepSeek, Together AI and Fireworks. They're reached directly or through gateways such as OpenRouter and Vercel AI Gateway.
  • Web search (Tavily).
  • Tools (MCP servers) your administrators connect.
  • Sign-in with Google or Microsoft.
  • Email you choose to send from the Service.

Your organization's own providers and tools. If you bring your own provider keys ("bring your own key") or connect your own tools, your agreement with that provider applies. You're responsible for what you send it.

Data Privacy. When it's on, the Service offers only models marked as not retaining or training on your data. Those settings depend on the provider keeping its commitments.

7. Acceptable use

Don't use the Service, or let anyone else use it, to:

  • break the law or someone else's rights, including privacy, confidentiality and intellectual-property rights;
  • create or spread malware, phishing, spam, or content that sexually exploits minors;
  • harass, threaten or discriminate unlawfully against anyone;
  • get around usage limits, credits, guardrails, security controls or plan limits;
  • probe, scan or test the Service's weak points without our written permission;
  • access accounts or data you aren't authorized to see;
  • reverse-engineer the Service except where the law allows it;
  • resell the Service, or use it to build a competing product;
  • break the usage policies of the AI providers your organization uses;
  • automate decisions that have legal or similarly significant effects on people without appropriate human review.

We may remove content, limit features or suspend access to stop a violation or protect the Service, other customers or the public. Where we reasonably can, we'll tell you first and give you a chance to fix the problem.

8. Our property and feedback

Lexlaw, the Service, the Website and our software, designs, skills library and documentation belong to us and our licensors. Apart from the right to use the Service under these Terms, you get no other rights in them.

Skills from our library. You may copy skills from our skills library and adapt them for your own use.

Feedback. If you send us feedback, we may use it without any obligation to you.

9. Confidentiality and security

We protect Customer Content with reasonable administrative, technical and physical safeguards, described in our Privacy Policy. Some security settings are yours to choose, such as session limits, which models are allowed, guardrails and retention periods.

Each party keeps the other's non-public business information confidential and uses it only for this agreement. This doesn't apply to information that is public or that the receiving party already had or developed independently.

10. Term, suspension and termination

  • Term. These Terms apply while your organization uses the Service.
  • Ending your use. You can stop using the Service at any time. We may end these Terms or close an account:
    • if you materially breach them and don't fix the breach within 30 days of notice;
    • right away, for non-payment, serious misuse or legal requirements.
  • Inactivity. A free organization ends automatically after 60 days without use, as described in Section 3.
  • Suspension. We may suspend your organization's access if payment is overdue, if your use threatens the Service or other people, or if the law requires it.
  • After termination:
    • your right to use the Service ends;
    • you can ask us, through our contact page, for a copy of your content in a reasonable format, within 30 days (this doesn't apply to free organizations deleted for inactivity, which are deleted on the date we warned of);
    • after that we delete Customer Content under our retention practices, except where the law requires us to keep it;
    • sections 4 (Your content), 5, 8 and 11–13 continue to apply.

11. Disclaimers

We'll provide the Service with reasonable skill and care. Apart from that, the Service, the Website and all output are provided "as is" and "as available", to the extent the law allows. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We don't promise that the Service will be uninterrupted or error-free, or that output will be accurate or suitable for any purpose.

12. Limitation of liability and indemnity

Excluded losses. To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill.

Cap. Each party's total liability under these Terms is limited to the greater of:

  • the fees you paid us for the Service in the 12 months before the claim arose, or
  • US $100.

Exceptions. These limits don't apply to your payment obligations, to either party's indemnity obligations, or to liability that the law doesn't allow to be limited.

Indemnity. You'll defend us against claims, and cover the resulting losses, arising from:

  • Customer Content;
  • your or your Users' breach of Section 7;
  • your use of third-party services connected to the Service.

13. General

  • Changes to these Terms. We may update these Terms. For material changes, we'll give at least 30 days' notice through the Service or by email. Continuing to use the Service after a change takes effect means you accept it.
  • Governing law. These Terms are governed by the laws of [governing state or country], without regard to conflict-of-laws rules. The courts there have exclusive jurisdiction, unless your order form says otherwise.
  • Assignment. Neither party may transfer these Terms without the other's consent, except to a successor in a merger, acquisition or sale of substantially all of its assets.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
  • Whole agreement. These Terms, the Privacy Policy and any order form or BAA are the whole agreement about the Service. If part of these Terms can't be enforced, the rest still applies. Not enforcing a right isn't a waiver of it.
  • Notices. We send notices through the Service or to your administrators' email addresses. Send notices to us through our contact page.
